These supply terms govern every order placed with Butyros Limited trading as Valen & Co(company no. 15765404, VAT GB 495192946, registered in England & Wales at 124 City Road, London EC1V 2NX) by an approved trade-account customer. By placing an order, you accept these terms.

1. Trade-only supply

Valen & Co supplies VAT-registered businesses only. Goods are sold for resale or onward use in trade. We do not supply private individuals or end consumers. Trade accounts are subject to verification of company registration, VAT status and trade references at our discretion.

2. Quotes and pricing

All prices are quoted in GBP, exclusive of VAT, and as landed cost to your nominated destination unless stated otherwise.
Quotes are valid for 7 calendar days from the date issued and are subject to availability at the time of order confirmation.
We reserve the right to amend prices in the event of supplier cost changes, currency movement, freight rate changes or duty adjustments before a quote is converted to a confirmed order.

3. Orders and acceptance

An order is binding only once we issue a written order confirmation. We reserve the right to accept or reject any order at our discretion, including where stock is no longer available, where the order conflicts with a supplier exclusivity, or where the customer's account is in arrears.

4. Payment

Standard terms are pro-forma payment in full prior to dispatch, unless we have agreed credit terms with you in writing.
Payment is by bank transfer to the account specified on the invoice. Card payments may be available subject to a surcharge.
Where credit terms apply, payment is due within the period stated on the invoice. Late payment may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Title in the goods passes only on receipt of cleared funds.

5. Delivery and risk

Delivery dates are estimates only. We will not be liable for delays caused by carriers, customs, suppliers or events outside our reasonable control.
Risk in the goods passes to the customer on delivery to the nominated address (or, where the customer arranges collection, on collection from our nominated warehouse).
The customer is responsible for inspecting goods on receipt and notifying us of any shortage, damage or defect within 7 calendar days.

6. Returns and refunds

Goods are supplied for resale and are non-returnable except where faulty, damaged in transit, or supplied in error. Claims must be raised within 7 calendar days of delivery, supported by photos and original packaging. We do not accept returns of correctly supplied stock that has been resold, opened, broken from a sealed carton, or exposed to conditions outside the manufacturer's recommended storage range.

7. Authenticity and product compliance

All goods supplied are genuine, sourced through authorised supply chains, and intended for sale in the UK and EU markets unless otherwise stated. The customer is responsible for ensuring onward sale complies with the laws and regulations of the destination market — including product registration, language requirements, age-restriction sales rules, and any applicable cosmetics or fragrance regulations.

8. Intellectual property

The supply of goods does not transfer any intellectual property rights in the brands carried. The customer must not use any third-party trade mark in a way that could damage the brand owner's rights, and must not misrepresent the goods as being officially endorsed by the brand owner.

9. Confidentiality

Pricing, supplier sources, quotes and any other commercial information shared in the course of trade are confidential to the customer's business and may not be shared with third parties.

10. Liability

Our total liability for any single order is limited to the invoice value of that order. We exclude all indirect, special and consequential losses, except where liability cannot be excluded under English law (including death or personal injury caused by negligence, fraud, and any other liability that cannot lawfully be limited).

11. Force majeure

We will not be liable for any delay or failure caused by an event outside our reasonable control, including natural disasters, strikes, supplier failure, carrier disruption, sanctions, customs holds, or pandemic.

12. Governing law

These terms are governed by the laws of England & Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England & Wales.
